General

1.1. These general terms and conditions (hereafter referred to as “GTC”) are drafted by SENDBACK S.R.L. - Società Benefit and the parties affiliated with it (acting under the tradename SendBack), residing with its headquarters in Via Setaioli 10, 38068 Rovereto (TN) – Italy, registered in the Chamber of Commerce with number 02630030225, hereafter to be referred to as: “SendBack”.

1.2. “Customer” means the business counterparty of SendBack, that receives the Services and Products provided or delivered by SendBack.

1.3. SendBack and Customer are hereafter collectively referred to as the "Parties" and individually as "Party”.

1.4. The GTC apply to all services provided, quotations, agreements, orders or any other document agreed between Parties. The GTC will apply to the use of the Services by Customer.

1.5. All quotations are valid for acceptance for a period of 30 calendar days from the date of the quotation, after that period of time it will become invalid. Quotations are non-committal. Quotations or offers will not apply to follow-up orders.

1.6. No order submitted by the Customer shall be deemed to be accepted by SendBack unless and until confirmed by SendBack or when the Services are provided by SendBack.

1.7. SendBack will perform the Services to the best of its knowledge and ability and in accordance with the requirements of good workmanship.

1.8. In case of conflict between the provisions of the GTC and any other document between Parties, the provisions of the GTC will prevail unless Parties agreed otherwise in writing.

1.9. Customer agrees to let SendBack use their name and logo for marketing purposes. We take the privacy and security of our customers' information seriously and assure them that we will use their name and logo in a professional and respectful manner.

Definitions

2.1. All terms with a capital in the GTC or the documents to which the GTC apply will have the meaning as set out in the GTC unless stated otherwise.

2.2. “Agreement” means the GTC and Order and any other document to which the GTC apply, such as but not limited to the SendBack’ DPA.

2.3. “Customer’s Client” means the consumer which is a client of Customer.

2.4. “Order” means the order made by Customer through the Website including the commercial arrangement and as agreed by SendBack related to the Services.

2.5. “Services” means the services as provided by SendBack through its Website, including the dashboard and the provided services related to the shipping and return services of Customer’s webshop.

2.6. “Service Module” means one of the services modules as provided by SendBack on its Website.
